1. Acceptance of Terms
By accessing or using ScipherX products, the SAIC platform, or any associated services ("Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use our Services. These terms constitute a legally binding agreement between you and ScipherX Technology Labs Ltd.
2. Description of Services
ScipherX provides post-quantum cryptography and AI cybersecurity services, including the SAIC Platform-as-a-Service, API access, developer SDKs, and associated tools. Services are provided subject to the terms of any separate order form, statement of work, or API access agreement.
3. Intellectual Property
All intellectual property rights in the Services, including patents, trademarks, trade secrets, and proprietary algorithms, remain the exclusive property of ScipherX. The SAIC architecture and associated cryptographic protocols are protected by patent. You receive a limited, non-exclusive, non-transferable licence to use the Services as described in your agreement with us.
4. Acceptable Use
You agree not to use the Services to:
- • Engage in unlawful activities or violate any applicable laws or regulations
- • Attempt to reverse engineer, decompile, or extract source code from our platform
- • Use the Services in a way that could damage, disable, or impair their function
- • Resell or sublicence the Services without our prior written consent
- • Attempt to circumvent security, access controls, or rate limits
5. Data & Privacy
Your use of our Services is subject to our Privacy Policy. Where you are processing personal data using our Services, a Data Processing Agreement (DPA) will govern that processing. Contact us at info@scipherx.com to execute a DPA.
6. Limitation of Liability
To the fullest extent permitted by law, ScipherX's total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amounts paid by you to us in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, or consequential damages.
7. Warranties & Disclaimers
We provide the Services in good faith, using reasonable care. However, the Services are provided "as is" without warranties of any kind beyond those expressly set out in your service agreement. Whilst our technology is based on current post-quantum standards, no security system can guarantee absolute protection against all threats.
8. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed.
9. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes. Continued use of the Services after changes constitutes acceptance of the new Terms.
